What could affect conditional tax relief?

A research framework, not a risk rating or suitability assessment.

Capital at risk. This is general educational information, not personal tax or investment advice. Conditions apply to every relief. Always check current rules and seek independent advice.

You can lose all of your capital

Young and growing businesses face uncertainty. Commercial failure can result in a total loss. Tax relief does not remove that risk and may be unavailable or withdrawn.

Illiquidity and long time horizons

Shares in unlisted businesses may be difficult or impossible to sell. An investment can remain tied up for many years. A minimum tax holding period is not an expected exit date.

Dilution and valuation

Further funding rounds may reduce your percentage ownership. Valuations are uncertain and future rounds may be completed at lower prices. Understand the rights attached to your share class.

Tax and eligibility risk

Reliefs depend on the company, share issue and investor meeting detailed conditions. Changes to the business, investor circumstances or legislation can affect the availability of relief.

Due diligence and diversification

Investigate the business, management, finances, use of funds and terms. Diversification can spread exposure but cannot eliminate losses. Seek independent professional advice and only commit capital you can afford to lose.

Read financial resilience alongside ambition

Understand what the company spends each month, where its revenue comes from and which commitments cannot easily be reduced. A concentrated customer base, dependence on one supplier or an uncertain next funding round can matter as much as product potential. Ask which assumptions have the greatest effect on survival.

Know what diversification can and cannot do

Different companies can still depend on similar financing conditions, customers or technologies. A larger number of holdings does not necessarily mean independent risks. Consider concentration across sectors, stages and funding periods without assuming a portfolio prevents loss. Spreading exposure does not create liquidity or guarantee a return.
