The Enterprise Investment Scheme

EIS is a UK scheme designed to encourage investment in qualifying trading companies. Investors buy newly issued shares and may claim tax relief if both they and the company meet the requirements. The scheme supports enterprise; it does not guarantee an investment.

How EIS works

You invest in a qualifying share issue. The company uses the funding to grow its business. After the compliance process, eligible investors receive an EIS3 certificate to support a tax relief claim. A certificate does not replace the need to meet the investor conditions.

Potential tax benefits

Eligible investors may claim income tax relief at 30%. Qualifying investment gains can receive capital gains tax relief. EIS may also provide deferral relief for an existing gain and relief on eligible losses. Each benefit has its own conditions.

Holding periods and liquidity

A minimum holding period of at least three years applies to retaining key reliefs, but that does not mean an exit is available after three years. Early-stage investments can remain illiquid for many years.

Understand before investing

Read the investment documents, understand the business and consider fees, dilution and exit prospects. Tax relief should not replace a judgement about the commercial investment. Seek independent advice about your own circumstances.

Read the share terms, not just the story

A clear business idea is only part of an investment. Understand which legal entity is issuing the shares, what rights those shares carry and how your position might change if more capital is raised. Ask about voting rights, reporting and the treatment of different share classes. A useful question: what would need to happen commercially for a shareholder to realise value?

Keep the documents together

Build a simple record containing the investment documents, correspondence, share records and any compliance certificates. Keeping a dated record makes it easier to follow the company’s development and ask informed questions later. The research process should be clear enough to revisit when the business changes.
